Ohio Small Business Law
Our mission is to provide legal services to our small business clients that will help them develop and grow their businesses, fostering productive relationships with their business partners and employees.
BUSINESS FORMATION: Initially, we help our clients select the appropriate operating entity, obtain licenses, and draft formation documents. The selection of the operating entity (e.g. sole proprietorship, partnership, limited liability company, C corporation, or S corporation) includes an analysis of potential tax implications and owner liability issues. We also advise clients on the formation and proper use of advisory boards.
EMPLOYMENT: We work with clients on drafting and negotiating employment contracts, including non-compete, non-solicitation, and non-disclosure agreements. We also help prepare employee handbooks and policy manuals, and provide advice regarding governmental regulation in the areas of discrimination and paid leave. At the end of the employment relationship, we work with our clients to fashion employee severance agreements.
REAL ESTATE: We help our clients with the ownership and leasing of real property, by negotiating and drafting the necessary documents. We also represent property owners in the management of their real estate, by providing advice regarding tenant rights and instituting actions for forcible entry and detainer.
TECHNOLOGY: In the ever-growing world of technology, we negotiate and draft tech agreements and advise our clients on the best way to protect their trademarks, service marks, and copyrighted material, whether those assets appear in print or online.
